SUBJECT: REQUEST FOR PROPOSAL FOR THE PERFORMANCE OF EXPERT
PROFESSIONAL SERVICES - ANALYSIS OF BUSINESS
OPPORTUNITIES RELATED TO SMART CARD PROGRAMS
Dear Sir or Madam:
The Port Authority of New York and New Jersey, hereinafter referred to as the "Authority", the
Metropolitan Transportation Authority and New Jersey Transit hereby invites your Proposal for
furnishing expert professional services for the subject project.
Attached hereto is a copy of an Authority Standard Agreement, Attachment D, which should be
carefully reviewed by you, as it is the form of agreement that the Authority intends that you sign
in the event of acceptance of your Proposal and which forms the basis for the submission of
Proposals.
I. PRE-QUALIFICATION
REQUIREMENTS
Proposals will only be considered from consultants meeting the following criteria:
1. Demonstrate at least five (5) years experience in smart card technologies and systems
solutions in the transit and/or financial payments industries, and be thoroughly familiar with the
NY/NJ/CT/PA economic region.
2. Demonstrated successful completion of at least one (1) similar smart card strategic planning
project over the last 5 years.
II. PROPOSAL REQUIREMENTS
To respond to this Request For Proposals, the Proposer shall submit a concise proposal in
response to the following basic criteria:
1. To be acceptable, this Proposal shall be of no more than 75
pages (single-sided using 12
point or greater font size) not including resumes. Each resume shall be 2-page maximum, single-
sided using 12 point or greater front size. The Proposal pages shall be numbered and bound, or
in a 3-ring binder, with Your Firm Name and RFP Number 7932 clearly indicated on the
outside package and on the proposal cover.
2. Each section of the proposal shall be separated with a tab divider that is labeled in
accordance with the requirements specified below (Section III, Items 1 14)
3. One (1) original reproducible original and ten (10) copies, along with one (1) compact disc
copy, of the proposal shall be submitted for review. Address Proposal to: The Port Authority of
New York and New Jersey, One Madison Avenue, New York, New York 10010, Attention: RFP
Custodian. You are requested to submit your Proposal in sufficient time so that it is received by
the Authority no later than 2:00 p.m. on July 27, 2005. The cover of your submittal must
include the RFP Number 7932 and the RFP title. The Port Authority assumes no
responsibility for delays caused by any delivery services.

III. REQUIREMENTS AND INFORMATION TO BE SUBMITTED
To respond to this Request for Proposal, provide the following information:
1. In accordance with Authority policy, we request that you include, in the front of your
Proposal, a copy of the Agreement on Terms of Discussion (Attachment B).
2. After Attachment B, we also request that you include in the front of your Proposal, the
completed Company Profile (Attachment C), included herewith.
3. Demonstrate compliance with each of the pre-qualification requirements listed in Section I
above. Proposals not meeting the prequalification requirements will not be further evaluated.
4. A detailed staffing analysis that includes the name, titles and billing rates of those individuals
proposed to work on the subject services.
5. Qualifications of personnel referred to in the staffing analysis, above. The qualifications
should clearly state each individuals experience in work similar to that in Attachment A, along
with the number of years that each individual has been providing said services.
6. Specific relevant experience of your firm. Prepare a table that includes your firms relevant
experience with the following headings:
a) Project Title
b) Short description of project
c) Other entities assisting in project
d) Project Manager
e) Date Started
f) Date
Completed
g) Project Cost
h) Client
i) Contact Name and Phone Number (project reference)
7. A detailed description of the proposed technical approach to be taken on the project.
8. A statement indicating whether the consultant wishes to be evaluated as a single entity, a
legal entity joint venture, a common law joint venture or as a consultant with its team. If
proposing as a joint venture or team, submit all information required for a single entity for each
participant. If proposing as a common law joint venture or as a team, the Consultant cannot
change a common law joint venture member or a team member without sufficient reason as
approved in writing by the Authority.
9. Intended subconsultant(s), the terms and conditions for their compensation (including their
multiplier, if applicable), the estimated number of hours of subconsultant services, their
MBE/WBE status and the technical qualifications of their key personnel to be assigned to the
subject project.
10. Your attention is directed to paragraph 17 of the Authority's Standard Agreement in which
the Director has stated the goals for Minority Business Enterprise participation in this project.
The Consultant shall use every good faith effort to utilize subconsultants who are certified MBEs
or WBEs to the maximum extent feasible for this work. A listing of certified MBE/WBE firms
will be provided upon request.
11. A complete list of your firms affiliates.

12. The Proposer is expected to agree with the form of contract and its terms and conditions.
You should therefore not make any changes in the Standard Agreement nor restate any of its
provisions in your Proposal or supporting material. However, if the Proposer has any specific
exceptions, such exceptions should be set forth in a separate letter included with its response to
this RFP. The Authority is under no obligation to entertain or accept any such specific
exceptions.
13. Provide a binding assurance that the proposed key personnel will be committed to the
program as long as they are employees of the Proposer, unless otherwise agreed to in writing by
the Authority. Any change in key personnel after the submission and acceptance of the
Consultants proposal shall be submitted to the Director for approval.
14. If the Proposer or any employee, agent or subcontractor of the Proposer may have, or may
give the appearance of a possible conflict of interest, the Proposer shall include in its proposal a
statement indicating the nature of the conflict. The Authority reserves the right to disqualify the
Proposer if, in its sole discretion, any interest disclosed from any source could create, or give the
appearance of, a conflict of interest. The Authority's determination regarding any question(s) of
conflict of interest shall be final.
If the various completion dates contained in Attachment A cannot be adhered to you may submit
revised dates. However, the fact that you were not able to adhere to the original dates and the
extent of the revised dates will be included among the factors which the Authority will evaluate
in analyzing Proposals. The Authority reserves all rights referred to in the last paragraph
hereunder.
IV. ORAL PRESENTATION
After review of all proposal submissions, an oral presentation to the selection committee may be
requested. Selected Proposers will be notified, by the Authority 48 hours in advance. The
presentation should be limited to 45 minutes, and include the material contained in your
proposal. The presentation will be followed by an approximately 45-minute question and answer
session. The Proposers staff providing the presentation shall be led by the proposed Project
Manager who may be supported by no more than five (5) other senior staff members proposed to
work on this project.
V. SELECTION PROCESS
The selection process by which a firm shall be selected for the performance of the subject
services will be based on consideration of the following factors, listed in order of importance:
1. Experience and Qualifications of Team Members
The quality and depth of the experience and qualifications of the staff, including
subconsultants, who will be performing services hereunder.
2. Depth and Quality of Firms Experience
The extent and quality of experience of the Consultant and the quality of similar service
provided to others.

The appropriateness and responsiveness of the Consultant's proposed innovative and creative
technical approach to the performance of services hereunder.

VI. ADDITIONAL INFORMATION
If your firm is selected for performance of the subject services, the agreement you will be asked
to sign, at that time, will include clauses entitled "Certification Of No Investigation (Criminal Or
Civil Anti-Trust), Indictment, Conviction, Suspension, Debarment, Disqualification, Pre-
qualification Denial Or Termination, etc; Disclosures Of Other Required Information" and
"Non-Collusive Bidding And Code Of Ethics Certification; Certification Of No Solicitation
Based On Commission, Percentage, Brokerage, Contingent Fee Or Other Fee" (A copy of the
agreement is included herewith). The selected consultant shall upon executing said agreement,
at time of award, be deemed to have made the certifications contained therein unless said
