INTRODUCTION
North Carolina Electric Membership Corporation (NCEMC) is issuing this Request for
Proposals (RFP) for additional power supply resources to serve a portion of its
members future load and energy requirements beginning January 1, 2012. In response
to future load growth and the expiration of existing power purchase agreements,
NCEMC is seeking firm intermediate, and peaking capacity for the period of 2012 and
beyond up to the amounts shown in the table below, as well as base capacity in 2020.
The Peaking / Intermediate resources are expected to see capacity factors between 10%
and 40% depending on block, control area, and year of operation. The Baseload
resources are expected to see up to a 90% capacity factor.

Respondents should be aware that the capacity amounts shown in the above table are
only a guideline of what NCEMC expects to purchase or own through this solicitation.
The total amount of capacity obtained may vary from what is listed in the table above.
NCEMC strongly prefers proposals that locate the source(s) of capacity within the
existing control areas of Progress Energy Carolinas, Inc. (PEC), Duke Energy
Corporation (Duke), or Dominion Virginia Power (Dominion).
NCEMC is seeking proposals for supply-side base / intermediate / peaking resources
that emphasize firmness of supply and flexibility of scheduling and delivery that provide
the greatest value to NCEMC and its members. Proposals that include the provision of
load following services are encouraged by NCEMC. NCEMC will consider proposals
for ownership options for new or existing facilities for a portion or all of the
requirements.
NCEMC expects that this RFP will be met by a variety of suppliers with varying terms. 2
Therefore,
NCEMC is open to proposals with contract terms from five years to life of
plant. Proposals that offer flexibility in the start date are encouraged. This RFP is
specifically intended to solicit generation or supply-side resources only. Independent
power producers, qualifying cogeneration facilities, small power production facilities,
power marketers, electric utilities or any other entities able to provide all or a portion
of the stated needs are encouraged to respond.
NCEMC, at any time during the RFP process prior to execution of one or more
contracts, reserves the right to:

reject or accept any or all proposals for greater or less than or none of the amount
of firm capacity originally requested
·
reject or accept any proposals that are not complete or contain irregularities;
·
reject or accept any proposal that is not received on or before the due date
specified;
· accept other than the lowest bid proposal;
· obtain clarification from Respondents concerning proposals; and
· conduct negotiations with the Respondents determined to be most competitive to
arrive at a final price and term and conditions.
